Terms of Service

1. Acceptance

By creating an account or using IdeaFlow, you agree to these Terms of Service (“Terms”). If you do not agree, do not use the service. IdeaFlow is operated by Neo Sapiens (“we”, “us”, “our”), an Australian entity.

2. The service

IdeaFlow provides an AI-assisted coaching environment for capturing and developing personal or professional ideas. The AI responses are generated by a large language model and are not a substitute for professional legal, financial, medical, or other expert advice.

3. Your account

• You must be 16 or older to create an account.
• You are responsible for keeping your login credentials secure.
• You may not share your individual account credentials with others. Power plan members each receive their own separate account.
• You may not use IdeaFlow for activities that harm third parties.

4. Your content

You own all ideas, descriptions, and messages you create. By using IdeaFlow you grant us a limited, non-exclusive, royalty-free licence to store and process that content solely to deliver the service to you. We do not claim any ownership of your content.

You must not submit content that is illegal, violates third-party intellectual property, or that you do not have the right to share.

5. Payments and plans

• Paid plans are billed monthly in advance via Paddle, our payment processor and Merchant of Record. All prices are in Australian dollars unless otherwise stated.
• The 14-day free trial is available once per account. After the trial, you are charged at the applicable plan rate. Your card is required to start a trial but is not charged until the trial ends.
• Cancellations take effect at the end of the current billing period. Access continues until that date.
• We do not offer partial refunds for unused time, except where required by applicable consumer law. See our Refund Policy for full details.
• We reserve the right to change plan prices with 30 days' notice by email. You may cancel before the new price takes effect.

6. Acceptable use

You must not use IdeaFlow to:

• Attempt to circumvent usage limits through automation, scripting, or account sharing.
• Scrape, reverse-engineer, or resell the service or its outputs.
• Transmit malware, spam, or anything designed to disrupt the service or other users.
• Violate any applicable law or regulation.

6a. Feedback

The in-app feedback widget is provided so you can report bugs and suggest improvements. Feedback is reviewed by Neo Sapiens and treated as a product backlog — it directly informs what gets fixed and built next.

• Your email address is collected at submission for abuse identification only. It is permanently removed once your feedback is reviewed and confirmed as legitimate. The anonymised message is retained as a product improvement record.
• Do not include personal information about yourself or third parties in feedback messages.
• Do not submit abusive, harassing, or offensive content through the feedback tool. Submissions of this kind will be deleted without action and may result in account suspension.

7. Consumer rights and liability

Nothing in these Terms excludes, restricts, or modifies any right or remedy, or any guarantee, warranty, or other condition, implied or imposed by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any other applicable statute that cannot lawfully be excluded or limited. Our services come with guarantees that cannot be excluded under Australian Consumer Law.

Subject to the foregoing, and to the fullest extent permitted by law:

• IdeaFlow is provided on an “as available” basis. We aim for high availability but do not guarantee uninterrupted or error-free service.
• We are not liable for any indirect, incidental, special, or consequential loss, including loss of data, revenue, or business opportunity, arising from your use of the service.
• Where our liability cannot be excluded, it is limited to (at our option): re-supplying the relevant service; or refunding the fees paid for the affected billing period.

For consumers in the EEA or UK, nothing in these Terms affects your statutory rights under applicable national consumer protection law.

8. Termination

Either party may terminate at any time. We may suspend or terminate accounts that violate these Terms, with or without prior notice depending on the severity of the breach. On termination, your idea content and personal data will be deleted within 30 days in accordance with our Privacy Policy, except where retention is required by law.

9. Changes to these Terms

We will notify you of material changes via email at least 30 days before they take effect. Continued use of the service after the effective date constitutes acceptance of the revised Terms.

10. Governing law and disputes

These Terms are governed by the laws of New South Wales, Australia. You agree to submit to the non-exclusive jurisdiction of the courts of New South Wales for any dispute arising from these Terms or your use of IdeaFlow.

Nothing in this clause limits any rights you have under mandatory consumer protection laws in your country of residence, including the Australian Consumer Law or, for EEA/UK residents, applicable national consumer law.
